WANDERABLE MERCHANT ACCOUNT TERMS OF SERVICE LAST UPDATED JANUARY 1, 2014
These Terms of Service (“Terms”) govern your access to this website (the “Site”) and the use of the Service (as described below), provided by Wanderable Company (“Wanderable”). Your access to and use of the Site and the Service is conditioned on your compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations. By accessing the Site and/or using the Service, you agree to be bound by these Terms, which constitute a binding legal agreement between us. Wanderable reserves the right to change these Terms or our program features from time to time. You should review these Terms regularly. If at any time you do not agree with these Terms, or you do not agree to any modified Terms, then you must immediately stop your use of the Site and Service(s). In the event of a conflict between these Terms and the terms of any Merchant Agreement or other agreement between you and Wanderable, these Terms shall govern.
Wanderable may offer certain optional features or functionalities. If you choose to use such features, then you may be required to agree to separate terms that are specific to those features that will be disclosed and available at the time you elect any such option. In addition, certain areas of the Service may have different terms and conditions posted or may require you to agree with and accept additional terms and conditions. If there is a conflict between these Terms and terms and conditions posted for a specific area of the Service, the latter terms and conditions will take precedence with respect to your use of or access to that area of the Service.
Wanderable provides an online platform (the “Service”) that allows tour and event providers and organizers (“Merchants”) to offer and sell activities or services listed through the Service (“Listed Items”), and collect payments from guests who purchase any Listed Items, and issue Certificates to Customers (“Customers”) for redemption of their purchases of Listed Items (“Certificates”). The Service may change from time to time and/or we may need to stop (permanently or temporarily) providing the Service (or any features within the Service), possibly without prior notice. We also reserve the right to create limits on access and use of the Service at our sole discretion at any time.
In order to access and use the Service, you must register and create an account with Wanderable, or Wanderable must create an account for you. By you or Wanderable creating an account, you represent that you have the capacity to be bound by these Terms, you are of legal age to form a binding contract and are not a person barred from receiving the Service under the laws of the United States or other applicable jurisdiction. If you are acting on behalf of a company or entity, you also represent that you have the authority to accept these Terms on its behalf and to bind such entity to these Terms.
When creating an account, you will be required to provide certain personal and contact information about yourself (and for any authorized users) and establish a login ID and password (for you and your authorized users) (“Account Information”). You agree to provide accurate, current, and complete Account Information and it is your responsibility to keep your Account Information up to date and accurate. We reserve the right to suspend or terminate your account if any Account Information proves to be inaccurate, false, or misleading. You agree and understand that you are responsible for maintaining the confidentiality of your password, which, together with your login ID/email address, allows you to access the Service. You should notify us as soon as possible if your password is lost, stolen, or disclosed to an unauthorized third party, or if your account may have otherwise been compromised. You are responsible for activities or actions that occur under your account (including by any of your authorized users), whether or not you have authorized such activities or actions. By creating an account you consent to the use of: (i) electronic means to complete these Terms and to provide you with any notices given pursuant to these Terms; and (ii) electronic records to store information related to these Terms or your use of the Service.
The Service provides potential Customers with information from Merchants about the Listed Items they offer (“Listings”). In order to submit Listings, you must agree to additional terms that will be made available at the time you elect to submit Listings, which will be set forth in a Merchant Agreement by and between you and Wanderable governing such Listings. Submission of a request for Wanderable to create a Listing on your behalf does not obligate Wanderable to create any Listing. You must provide true, accurate, current, and complete information about your business and the services you provide, including all applicable fees, charges and taxes, booking rules, availability, location, terms and conditions, cancellation and refund policy, special needs accommodations, ADA compliance, photos (in a number to be set forth in the Merchant Agreement), etc. After a Listing is posted, you may change this information, including but not limited to the price in U.S. Dollars associated with the Listed Items (“Listed Value”), with the approval of Wanderable. The Listed Value will be inclusive of any applicable service charges, including but not limited to credit card processing fees ("Service Fees"). If the Listed Value of any item is greater than one hundred U.S. Dollars (US$100), Wanderable at its discretion may (a) split the associated Listing into multiple Listings.
You are responsible for the Listings and material that is posted, uploaded, and otherwise submitted to the Service through your account and the consequences of posting or publishing it. By submitting any Listing to Wanderable, you hereby grant Wanderable a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, copy, reproduce, process, publish, transmit, distribute, adapt, modify, prepare derivative works of, and display your Listings in connection with the Service in any and all media or distribution methods (now known or later developed) and in press releases or publicity for Wanderable.
You may subcontract or delegate portions of your performances required by these Terms with respect to a particular Listing to a third party (each, a "Third Party Merchant"). If you subcontract or delegate to Third Party Merchants with respect to provisions of the Listed Items, you will remain solely responsible and liable for (a) all your obligations, including financial obligations, under these Terms and (b) all acts and omissions of your Third Party Merchants. You shall require your Third Party Merchants to comply with all applicable restrictions and obligations imposed on you under these Terms, and you will be solely responsible for your financial and contractual relationship with your Third Party Merchants. You acknowledge that you are the exclusive seller of your Listed Items, other than Third Party Merchants. You also are responsible and liable for: (i) the decision to offer the Listed Item through the Service; (ii) processing Certificates for redemption; and (iii) supplying all goods and/or services specified in the Listing.
By submitting a Listing, you also affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and to authorize Wanderable to make available and share your Listing in the manner contemplated by the Service and these Terms. You may not use the Service to create fictitious businesses or persons, impersonate others (or imply that you are affiliated with other businesses that are not affiliated with you), or include or use any false, misleading, or inaccurate profile and other information about you and your business that you make available through the Services.
By using the Service, you agree not to:
• submit material that violates a third party’s proprietary rights, including privacy and publicity rights, or that otherwise violates any applicable law;
• publish falsehoods or misrepresentations that could damage us, our users or any third party;
• submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
• post advertisements;
• impersonate another person or represent yourself as affiliated with us, our staff, or other industry professionals;
• solicit a user's password or other account information;
• use our copyrights or trademarks (including “Wanderable” and the Wanderable logo), or any confusingly similar marks (other than as part of your normal use of the Service), without our written permission; or
• harvest user names, addresses, or email addresses for any purpose.
Wanderable does not review, endorse or verify any Listing or any opinion, recommendation, or advice expressed therein, and Wanderable expressly disclaims any and all liability in connection with any Listing. We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Listing through the Service, which violates these Terms for using the Service and submitting Listing. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property, or safety of Wanderable, its users, and the public.
Once Wanderable has received payment from a purchaser for a Listing, Wanderable will authorize for use and make a Certificate available to the purchaser (or will distribute it to a designated transferee on behalf of the purchaser, if any is designated at the time of purchase). Wanderable will relay the codes associated with the Certificates to the Merchant by email or other electronic communication within a reasonable time following purchase and will ship physical certificates or send electronic certificates to Customers. Customers may then redeem the Certificate for the Listed Item by presenting the Certificate to you as printed certificates, through their mobile devices, or any other media that Wanderable has adopted for Certificate redemption. Wanderable will not hold Merchant responsible for any stolen, lost, or faulty Certificates.
You shall comply with your obligations specified in these Terms, the Listing or request, and other obligations regarding the use of your Merchant Account. In addition, when redeeming Certificates, you shall: (a) honor the Certificates, pursuant to the terms of your Listing at the time the Customer has indicated an intention to purchase (e.g., at the moment the Customer adds the Listing to their registry), and as required under applicable law(s); (b) honor any Certificate presented by an individual, unless you reasonably believe that individual obtained the Certificate in an unauthorized or illegal manner, in which case you shall immediately contact Wanderable and explain the circumstances; (c) if Listed Items become booked or unavailable, apply the Listed Value or equivalent towards other offerings and (d) comply with the terms and conditions stated on the Listing without modification and without imposing any restrictions or additional charges or penalties that are not expressly stated on the Listing or elsewhere on your Wanderable account. You shall specify all generally applicable policies, restrictions and contractual arrangements (e.g., liability waivers required for all customers) applicable to the Listing at the time you are creating your Listing or in your Wanderable account, and Wanderable shall have no liability for the nature of your policies and restrictions or your failure to specify appropriate policies and restrictions.
Certificates will not expire except as set forth under applicable law or as specified in the Listing.
• Copyright Policy
We do not permit copyright infringing activities and infringement of intellectual property rights on the Service and will remove any such content if properly notified that such content infringes on another's intellectual property rights. If you are a copyright owner or an agent thereof and believe that any content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;
• a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;
• identification of the URL or other specific location on the Service where the material that you claim is infringing is located;
• your address, telephone number, and email address;
• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

• Privacy and Personal Information
• Payment Processing
Wanderable will collect payments from purchasers on their purchases through Listings. Upon receipt of a credit card authorization that completes a Listing purchase, we will generate an email confirmation message and issue you and the Customer a unique gift certificate code. You agree to unconditionally accept, honor, and fulfill all gift certificate commitments that have been confirmed by Wanderable through the Service, and it is your responsibility to verify the Customer's gift certificate code and/or any restrictions relating to the Listed Items.
Wanderable will transfer associated amounts owed to you as specified in the Merchant Agreement, or as outlined in your Merchant Account. For direct deposit, Wanderable will deposit the associated amounts owed to you under the applicable Merchant Agreement to the account designated by you to Wanderable by the later of seven to ten (7-10) business days of the full Listed Value being paid for or seven to ten (7-10) business days after the registry closes. International transfers will only be initiated on the last business day of the month, and Merchant will bear all associated fees. Paypal transfers will be made in USD. The amounts remitted shall be as set forth in the Merchant Agreement. Wanderable is not responsible for confirmation of your account information, and you must notify Wanderable of any changes to the receiving account. All sales and Service Fees are payable in U.S. Dollars, or other foreign currency accepted by Wanderable through the Service.
You agree all amounts ultimately due will be net of all Service Fees. The Service Fees are described on the Merchant Agreement. Wanderable may modify the Service Fees at any time; however, we will provide you at least thirty (30) days’ notice prior to any changes to the fees taking effect.
• Cancellations and Refunds
You are responsible for communicating your cancellation and refund policy to Customers. Your cancellation and refund policy must be consistent with these Terms. In the event of a cancellation where you choose to give a refund, you may authorize a refund to a customer and supply a refund authorization notice to Wanderable by emailing us at firstname.lastname@example.org.
Upon a Merchant's notification to Wanderable that a refund needs to be issued to a Customer, Wanderable will issue a payment to the Customer less the transaction and administration fees. Refunds will be processed within thirty (30) days after you notify Wanderable. You will be billed any owed amount that has already been transferred into your account.
You acknowledge and agree that Wanderable shall have the right to request a Refund from the Merchant at any time if Wanderable receives complaints from a substantial number (as determined by Wanderable in its sole discretion) of Customers with respect to the Listing, from an exceptional Customer circumstance related to the Listing, or Wanderable determines in its sole discretion that you have (or may have) engaged in any activity that is likely to cause any legal or public relations liability for Wanderable.
Wanderable reserves the right to withhold the payment of any amounts owed to you hereunder: (i) if Wanderable suspects or determines that such amounts have been generated (a) in a fraudulent manner, (b) in violation of these Terms or an applicable Merchant Agreement, or (c) in violation of any applicable laws or regulations, (ii) in connection with processing and settlement of any Refunds or (iii) if Wanderable is required to do so by applicable laws or regulations. You are responsible for collecting, paying and submitting all taxes associated with the sale of your Listed Items through the Service (except for any taxes based on Wanderable's net income.
In the event any amounts are owed by you to Wanderable pursuant to these Terms, you hereby agree and authorize Wanderable to initiate an electronic funds transfer to debit the amounts owed from any of your bank accounts to which proceeds have been sent. If payment for any amounts due to Wanderable hereunder is not made by you when due, Wanderable reserves the right, in its sole discretion and without limiting its other rights and remedies, to terminate your account for the Service and to cancel all other Listings listed by you. Late payments will bear interest at 1.5% per month or the maximum rate permitted by law, whichever is less calculated from the date such amount was due until the date that payment is received by us, plus any expenses associated with collections.
As issuer of the Listed Item, you (and not Wanderable) are fully responsible for the terms and conditions for each Listing, and for any and all injuries, illnesses, damages, claims, liabilities and costs suffered by or in respect of you or any other customer caused in whole or in part by you or your Listed Items. You are also responsible for complying with unclaimed property laws with respect to any unused Certificates.
If you have a dispute with your payment processor, the provider of your merchant account or your merchant account holder, or any Customer, you hereby release Wanderable and its respective officers, directors, employees, agents, successors and assigns from any and all claims, demands, liabilities, losses and damages of every kind and nature arising out of or in any way connected with such disputes. In addition, you expressly waive the provisions of California Civil Code §1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if not known by him must have materially affected his settlement with the debtor.”
• Unauthorized Activities
While using or accessing the Service, you agree that you will not do any of the following: (i) use the Service to collect or store personal data about other users, including both Merchants and Customers, without their express permission; (ii) use manual or automated software, devices, scripts robots, other means or processes to access, “scrape,” “crawl” or “spider” any web pages contained in the Service; (iii) use any device, software, or routine that (a) interferes with any application, function, or use of the Service, or (b) is intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or communication, or (c) circumvents, disables or otherwise interferes with security or authentication related features of the Services; (iv) resell, sublicense, time-share, or otherwise share the Service with any third party; (v) frame or mirror the Service; (vi) decompile, disassemble or reverse-engineer the underlying software that is part of the Service or otherwise attempt to derive its source code; (vii) use the Service either directly or indirectly to support any activity that is illegal; (viii) access the Service for purposes of monitoring its availability, performance or functionality, or for any other benchmarking or competitive purposes; or (ix) authorize any third parties to do any of the above.
• Intellectual Property Rights
The Service and the Site are protected by copyright, trademark, and other laws of the United States and foreign countries. Wanderable and its licensors exclusively own all right, title and interest in and to the Service and the Site, including all associated intellectual property rights. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Service or the Site. You may not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Service or the Site, except as expressly permitted in these Terms. Any feedback, comments and suggestions you may provide about improvements to the Service or the Site (“Feedback”) will be the sole and exclusive property of Wanderable and you hereby irrevocably assign to Wanderable all of your right, title, and interest in and to all Feedback.
You acknowledge and agree that any materials, including, but not limited to, questions, comments, suggestions, ideas, plans, notes, drawings, original or creative materials or other information, regarding the Site, Wanderable or Wanderable's products or services that are provided by you in the form of email or other submissions to Wanderable, or any postings on the Site, are non-confidential and shall become the sole property of Wanderable. Wanderable shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
You may terminate your use of the Service and your account at any time and for any reason by sending us notice. Upon any termination by you, the Service and your account will no longer be accessible. Any cancellation request will be handled within 30 days of receipt of such request; however, if any amount is still outstanding on the part of the Merchant, the cancellation request will be handled within 30 days of receiving said amount. Wanderable may at any time, suspend, disable or terminate your access to or use of the Service (a) if you violate or breach any provision of these Terms (or have acted in a manner which shows that you do not intend to, or are unable to comply with the provisions of these Terms), (b) if Wanderable in its sole discretion believes it is required to do so by law (for example, where the provision of the Service to you is, or becomes, unlawful); or (c) immediately upon notice, to the e-mail address provided by you as part of your Account Information.
Notwithstanding anything herein to the contrary, you or Wanderable may cancel or suspend a Listing for any or no reason, and Wanderable will remove and deactivate your listing within thirty (30) calendar days of when notice is received. Even after a Listing; is canceled or suspended you must continue to accept Certificates already issued, and, if the original Listed Item is unavailable, provide an activity or service at an equal or similar value.
Wanderable will not be liable to you or to any third party for the suspension or termination of your access or use of the Service. Upon any termination or suspension, you will no longer be able to access your account or the Service and Wanderable will have no obligation to maintain any Customer Information or any related information that was stored in our database related to your account or to forward any information to you (or to any third party). Any suspension or termination will not affect your obligations to Wanderable under these Terms (including, without limitation, ownership, confidentiality, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension or termination.
Your access to and use of the Service is at your sole risk. Wanderable is not responsible for the actions of you or your authorized users or for any loss of data that results through your (or your authorized users) use of the Service. The Service is provided to you on an “AS-IS” and on an “AS AVAILABLE” basis. Without limiting the foregoing, WANDERABLE DISCLAIMS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE, AND EXPRESSLY DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. Wanderable makes no representations, warranties or guarantees, express or implied, regarding the accuracy, availability, reliability, or completeness of the Service. the Site, any of the content, Customer Information provided by Customers, or other information as provided by Merchants. Your access and use of the Service may be interrupted from time to time for any of several reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the Service or other actions that Wanderable, in its sole discretion, may elect to take.
Wanderable is not and will not be liable for any loss or damage arising from your failure to manage your account, including without limitation to regularly review the accuracy of your Listings and other information created on your behalf by authorized Wanderable personnel. WANDERABLE IS NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO PRICING, TEXT OR PHOTOGRAPHY. WHILE WANDERABLE ATTEMPTS TO MAKE YOUR ACCESS AND USE OF THE SITE AND THE SERVICES SAFE, WANDERABLE CANNOT AND DOES NOT REPRESENT OR WARRANT THAT THE SITE OR ITS SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THEREFORE, YOU SHOULD USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES FROM ANY DOWNLOAD.
IN NO EVENT SHALL WANDERABLE BE LIABLE TO YOU, ANY THIRD PARTY MERCHANT OR ANY OTHER THIRD PARTY FOR ANY CLAIMS RELATING TO THE USE OF YOUR GOODS AND SERVICES, INCLUDING BUT NOT LIMITED TO CLAIMS RELATING TO FALSE ADVERTISING, INJURIES, ILLNESSES, DAMAGES, OR DEATH. ANY CLAIM ARISING OUT OF OR RELATING TO ANY CERTIFICATE MUST BE MADE WITHIN ONE (1) YEAR OF FIRST PUBLICATION OF THE CERTIFICATE AND ALL CLAIMS NOT SO MADE SHALL BE DEEMED WAIVED BY YOU.
Wanderable reserves the right to change any and all content contained in the Site and to modify, suspend or discontinue the Site or any Services offered through the Site or any features or functionality of the Site or the Services at any time without notice and without obligation or liability to you. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by Wanderable.
You agree to defend, indemnify and hold harmless Wanderable and its officers, directors, shareholders, employees, and independent contractors from and against all claims and expenses (including attorneys fees), including but not limited any actual or threatened suit, demand or claim, in whole or in part arising out of or attributable to (a) your access to or use of the Service (other than as permitted by these Terms) including any breach of these Terms by you, including the use or misuse of any Customer Information; (b) any Listing posted to the Service on your behalf; (c) any claim from a Customer or third party regarding any Listed Item, your business or service and/or the acts or omissions of you or your employees, contractors and agents; or (d) any failure (i) to honor a Certificate purchased for a Listed Item through the Service, (ii) to issue a refund for any cancelled Listed Item, or (iii) to pay any applicable taxes or fees to any government agency regarding the Listed Item.
• Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WANDERABLE WILL NOT BE RESPONSIBLE OR LIABLE, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO THE SITE, YOUR USE OF THE SERVICE OR THESE TERMS, EVEN IF WANDERABLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, WANDERABLE’S LIABILITY TO YOU FOR ANY CAUSE WHATEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE SUM OF ALL PAYMENTS YOU HAVE MADE TO WANDERABLE FOR THE SERVICE IN THE LAST TWELVE (12) MONTHS OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER. The limitations of damages set forth above are fundamental elements of the basis of the bargain between us.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
These Terms, and your relationship with Wanderable, shall be governed by the laws of the State of California without regard to its conflict or choice of law provisions. Any claim or dispute with Wanderable, or its officers, directors, employees, agents or affiliates, arising under or in relation to these Terms shall be resolved exclusively through the state and federal courts within Santa Clara County, California. These Terms represent the entire understanding and agreement between you and Wanderable regarding the Service. If a court of competent jurisdiction finds any term or condition in these Terms to be unenforceable, all other terms and conditions will remain in full force and effect. No waiver of any term of this these Terms shall be deemed a further or continuing waiver of such term or any other term, and Wanderable’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Wanderable reserves the right, in its sole discretion, to modify, discontinue or terminate the Services at any time, to terminate your license to use the Site, and to block or prevent future your access to and use of the Site, or modify these Terms without notice. Any changes to these Terms will be posted on the Site and/or through the Service. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
